CSPM Consultants, LLC ("CSPM" or "Company") is the owner and operator of CSPMLLC.com website (the "Site"). CSPM is not a government agency or a commercial insurance plan. We are consultants here to assist with all of your practice and credentialing needs. All Rights Reserved.
By purchasing your membership, you acknowledge that you have read, understood and agree to these Terms of Service (these "Terms"). CSPM reserves the right to revise these terms at any time by updating this posting.
This is a contract between us, CSPM Consultants, LLC ("CSPM" or "Company") and you, (the "Member"), for credentialing services as described below. This contract (the "Agreement") constitutes a legal agreement between you and CSPM. This agreement is effective as of the date you accept its terms by purchasing your membership.
1. Membership Benefits
Membership provides the following benefits:
i. CSPM will maintain on behalf of the Member all certification and documentation that has been provided by the Member. This shall include but is not limited to: CV, Diploma(s), Certification(s), Medical License(s), DEA, Infection Control Certification, BLS, ACLS, Malpractice Case(s), Malpractice Liability Insurance Certificate(s), US Government Issued ID. However please note CSPM will not maintain any medical records information of the Member.
ii. CSPM will maintain Members continuing medical education (cme) credits that have been provided by the Member. In addition, CSPM will send the Member a status summary of the Members cme activity on a quarterly basis.
iii. With the Members authorization, CSPM will maintain the Members CAQH profile and attest to their CAQH profile each quarter.
iv. CSPM will assist the Member with all state medical license(s) renewal(s) and with the Members authorization act as the Members agent and renew the Members medical license(s) on their behalf.
v. CSPM will notify the Member within sixty-days (60) of any expiring credentials maintained by CSPM. This shall include but is not limited to: medical license(s), DEA, Certification(s), Infection Control, BLS.
vi. CSPM will provide the Member with CSPM's generated profile on an annual basis.
vii. The Member will have unlimited access to CSPM's repository information that has been submitted to CSPM by the Member within twenty-four (24) hours notification. CSPM will only release this information once the Member has provided CSPM with written authorization.
viii. Access to CSPM's other services provided at a discount of twenty-five (25) percent. This includes assistance with licensing applications, full service credentialing as well as consulting services.
i. By purchasing your membership you acknowledge that your subscription has a pre-payment feature for one full year of service. Your charge remains for the duration of membership no matter if you access the services until you cancel your subscription or it is otherwise terminated.
ii. At the end of your subscription year ("Billing Date") your membership will automatically be renewed for another term of one year and your payment method will automatically be charged the pre-payment for one full year of service at the then current subscription rate.
iii. Members have the right to cancel at anytime by calling our office at (347) 329-5549. After such cancellation, your membership will remain active until the end of the billing date.
iv. To allow payment for the term, valid credit card information is due at the time of purchase. All credit card transactions are processed through a third party vendor.
v. We will send an email to the email address on record for your account approximately one week before your billing date. You acknowledge and agree that this notice is provided as a courtesy only, and we are not obligated or required to provide such notice. You acknowledge and agree that (a) failure to read, (b) inability to receive, or (c) the failure of CSPM to send the email does not create any liability on the part of CSPM or any third party service provider.
vi. CSPM may increase its fees for its membership effective the first day of a renewal term by giving you the member notice of the new fees at least thirty-days (30) prior to the renewal term. If you do not cancel your subscription pursuant to Section 2 sub-paragraph iii, you shall be deemed to have accepted the new fee for that renewal term.
vii. Your membership is subject to any limits established by CSPM or by your credit card issuer. If payment cannot be charged to your credit card or your charged is returned for any reason, including through a chargeback, CSPM reserves the right to terminate your membership.
3. Plan Membership
We reserve the right to accept or refuse membership at our discretion. Your membership is non-transferable. We may terminate your membership with 30 days written notification. Members can cancel at anytime as outlined in Section 2 sub-paragraph iii.
4. Members Responsibility & Rights
Member warrants that all statements are truthful and accurate and the member certifies that they are the lawful possessor and person named in the various forms and credentials furnished to CSPM. The Member is responsible for continuously providing CSPM updated information in order for CSPM to maintain a comprehensive and accurate profile on the member. This information includes but is not limited to, personal contact information, changes in licensure status, continuing medical education (cme) credits, certification, and other professional information.
By means of these "Terms" the Member shall have the right to review any information that is being submitted on behalf of the member prior to the submission and correct erroneous information.
CSPM, its agents or representatives and any third party contracted by CSPM agrees not to disclose any privileged or confidential information provided by the Member to any individual or entity, except as where necessary to perform credentialing services, required by state and federal laws and regulations or upon written authorization from the Member.
7. Authority Granted
i. Member authorizes CSPM to gather and maintain credentialing information on the Member. In addition, the Member authorized CSPM to request and obtain from individuals, organizations, previous employers, malpractice carriers, and schools any information they may have regarding the member. This may include otherwise privileged or confidential information relative to the Member's professional qualifications and credentials.
ii. Member authorizes all professional or allied health societies, hospitals, clinic, insurance carriers, peer review organizations, foundations for medical care, schools, local, state or federal agencies or other organizations, having custody or control of any documents or records pertaining to the member to release confidential information to CSPM.
8. Right to Change
Member acknowledges that CSPM reserves the right to change these Terms of Service at any time, in its sole discretion, with or without notice. All changes to our Terms of Service will be posted to this page.
Member agrees to indemnify, hold harmless, and defend CSPM, their respective officers, directors, employee's, or agents from any and all claims, liability, damages, costs and expenses of defense, including attorney fees, in any way arising from or related to your membership, your violation of these terms.
10. Governing Law
i. Choice of Law. The laws of the State of New York State govern this agreement, without giving effect to its conflicts of law principals.
ii. Choice of Forum. Both parties consent to the personal jurisdiction of the State and Federal courts in Bronx County, New York.
iii. Attorneys' Fees. If either party employs attorneys to enforce any rights arising out of or related to this agreement, the losing party shall reimburse the prevailing party for its reasonable attorneys' fees and costs.
11. Limitation of Liability
CSPM CONSULTANTS, LLC SHALL NOT BE LIABLE FOR ANY LOSS, INJURY, CLAIM, LIABILITY, OR DAMAGE OF ANY KIND RESULTING IN ANY WAY FROM (A) ERRORS OR OMISSIONS FROM OUR WEBSITE OR SERVICE, (B) ANY SERVICE LIABILITY ISSUES TO THE EXTENT THAT WE ARE NOT INVOLVED WITH, (C) THE UNAVAILABILITY OR INTERRUPTION OF OUR WEBSITE OR SERVICES, (D) YOUR USE OF OUR WEBSITE CONTENT, (E) THE CONTENT CONTAINED ON OUR WEBSITE OR SERVICES, OR (F) ANY DELAY OR FAILURE IN PERFORMANCE OF OUR WEBSITE AND SERVICES.
IN NO EVENT SHALL CSPM CONSULTANTS, LLC, THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEE'S, OR AGENTS BE LIABLE TO ANY MEMBER OR ANY OTHER PERSON(S) OR ENTITY FOR ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, PUNITIVE, CONSEQUENTIAL OR EXEMPLARY DAMAGES (INCLUDING, BUT NOT LIMITED TO DAMAGES FOR LOSS OF INCOME, LOSS OF DATA OR LOSS OF USE) ARISING OUT OF OUR SERVICES OR THE INABILITY TO USE OUR SERVICES EVEN IF CSPM IS AWARE OR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVEN SHALL THE TOTAL LIABILITY OF CSPM CONSULTANTS, LLC OR ANY OF THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEE'S OR AGENTS FOR DAMAGES, LOSSES, AND CAUSES OF ACTION RESULTING FROM YOUR USE OF THIS SITE OR SERVICES EXCEED THE ANNUAL MEMBERSHIP AMOUNT PAID TO CSPM CONSULTANTS, LLC.
By enrolling in CSPM Consultants, LLC RM membership you acknowledge that you have read these terms of service and agree to be bound by them.
